Terms of use
Last updated: 4 November 2026
These terms of use (the "Terms") govern access to and use of the aydee.app website (the "Site"), the Aydee platform and the Aydee mobile app (together, the "Service"). The Service is published by Aydee, a French simplified joint-stock company (société par actions simplifiée) registered with the Paris Trade and Companies Register under number 981 196 330, whose registered office is at 88 rue Raymond Losserand, 75014 Paris, France ("Aydee", "we").
By accessing or using the Service, you accept these Terms. If you use the Service on behalf of a company, you represent that you have the authority to bind it.
1. Purpose and scope
These Terms set out the conditions under which Aydee makes the Service available and the rules that apply to the people who use it.
The Service is intended exclusively for professionals. It is not intended for consumers.
Where a Customer has subscribed to the Service under a contract or an order form, the commercial terms (duration, pricing, scope, service levels) are set out there. If that document conflicts with these Terms, the contract prevails.
2. Definitions
- Customer
- The company, brand or retail network that subscribes to the Service for its teams.
- User
- Anyone who accesses the Service, including the Customer's sales staff, managers, trainers and head-office teams, as well as visitors to the Site.
- Account
- A User's personal, secure space, accessed with their credentials.
- Customer Content
- The training material, media, text, product data, news, challenges and any other information that the Customer or its Users import, create or distribute through the Service.
- Aydee Content
- The catalogue training paths, templates, text, visuals and other materials provided by Aydee or its partners.
- Third-Party Integration
- Any third-party service that the Customer or the User chooses to connect to the Service (for example Notion, a single sign-on system, an HRIS, a messaging tool, a calendar or a PIM).
3. Acceptance and changes to the Terms
Using the Service constitutes full acceptance of the Terms in the version in force on the day of use.
We may amend the Terms, in particular to reflect changes to the Service or to the law. Customers and Users are informed of any material change by e-mail or by in-Service notification at least thirty (30) days before it takes effect. Continuing to use the Service after that date constitutes acceptance; if you do not accept the change, you must stop using the Service.
4. Description of the Service
Aydee is a training and engagement platform built for sales teams: a branded mobile app for sales staff and a management space for head office. Depending on the plan subscribed, the Service includes in particular:
- A microlearning academy, with course and learning-path creation
- A news feed, surveys and challenges
- Gamification mechanics
- A product catalogue and a glossary
- Audience management and content translation
- Dashboards and analytics indicators
- Artificial intelligence features that help create content
- Third-Party Integrations
The Service evolves continuously. We may add, change or remove features without altering the overall balance of the plan subscribed by the Customer.
5. Accounts and access
Accounts are created by the Customer or, depending on the configuration, by the User following an invitation from the Customer. You undertake to provide accurate information and to keep it up to date.
Credentials are personal and confidential. You are responsible for all activity carried out from your Account and must notify us without delay at contact@aydee.app of any unauthorised use or suspected compromise.
The Customer is responsible for its Users' use of the Service, for granting access rights and for removing the access of people who leave its organisation.
6. Acceptable use
You undertake to use the Service in accordance with the law and these Terms. In particular, you must not:
- Publish or distribute content that is unlawful, defamatory, discriminatory, hateful, misleading or that infringes third-party rights
- Undermine the security or proper functioning of the Service (intrusion, malware, overloading, bypassing technical limits)
- Extract data or content from the Service by automated means (scraping) without written permission
- Reverse engineer, decompile or copy the Service or its components
- Share your credentials, or resell, sublicense or make the Service available to third parties
- Use the Service to build a competing product
- Impersonate another person
We may remove any content or suspend any Account that does not comply with these rules (see "Suspension and termination").
7. Content
The Customer retains all rights in its Customer Content. It grants us a non-exclusive, worldwide licence, limited to the term of the contract, to host, reproduce, technically adapt (formatting, translation, subtitling) and display it, solely to the extent necessary to provide the Service.
The Customer warrants that it holds all rights necessary in its Customer Content and that using it through the Service does not infringe any third-party right or any law. It is solely responsible for its content and accuracy.
Artificial intelligence features may produce inaccurate or incomplete content. The Customer must review and approve such content before publishing it and remains responsible for what it publishes.
If you notice unlawful content on the Service, please report it to contact@aydee.app, stating your identity and contact details, a description of the content and its address (URL), and the reasons why it should be removed. We will handle it as quickly as possible and may remove it.
8. Intellectual property
Aydee and its licensors hold all intellectual property rights in the Service (software, interfaces, databases, trademarks, logos, graphic elements) and in the Aydee Content. Nothing in the Terms transfers those rights to you.
Aydee grants you, for the duration of your access, a personal, non-exclusive, non-assignable and non-transferable right to use the Service for your internal business needs and within the limits of the plan subscribed. Aydee Content may be used on the same terms and within the limits set out in the contract or at the time of purchase.
If you send us suggestions or feedback about the Service, you authorise us to use them freely to improve it, without compensation.
9. Third-Party Integrations
The Service may connect to third-party services, such as Notion or authentication, human-resources, messaging or calendar tools. A Third-Party Integration is activated only on the initiative of the Customer or the User, after authorisation is given with the third-party service. When you connect a Third-Party Integration:
- We access only the data and permissions that you grant us when you authorise it
- We use that data only to provide the integration feature you requested, and not for any other purpose
- We do not sell that data and disclose it to third parties only where the operation of the Service requires it or where the law obliges us to
- You can revoke access at any time from the third-party service's settings or from the Service; access then ends
Third-party services are governed by their own terms and privacy policies, which apply to your use of those services. Aydee is not responsible for their availability, content or changes, and may suspend a Third-Party Integration that presents a security risk or whose access the third party changes or withdraws.
10. Personal data
The processing of personal data is described in our privacy policy, to which these Terms refer.
For Users' personal data processed through the Service on behalf of the Customer, the Customer acts as controller and Aydee as processor within the meaning of the GDPR. A data processing agreement (DPA) is available on request at contact@aydee.app. For other data (commercial relationship, the Site, account management), Aydee acts as controller.
The Customer undertakes to inform its Users of the processing of their data and to have a legal basis for it.
11. Availability, support and security
We use reasonable means to keep the Service accessible, without guaranteeing continuous availability: interruptions may occur for maintenance, updates or for reasons beyond our control. We endeavour to announce them in advance and to keep them to a minimum.
We apply appropriate technical and organisational measures to protect the Service and the data entrusted to us. As no system is infallible, we will inform the Customer as soon as possible of any breach affecting its data, in accordance with the applicable regulations.
Support is available at contact@aydee.app. The support level that applies is the one included in the plan subscribed.
12. Liability
Aydee is bound by an obligation of best efforts. Our liability may be engaged only in the event of proven fault and only for direct, certain and foreseeable damage. To the extent permitted by law, we are not liable for indirect damage, such as loss of revenue, customers, data or reputation.
Except in the case of gross negligence or wilful misconduct, our total liability under the Service is limited to the amounts actually paid by the Customer for the Service during the twelve (12) months preceding the event giving rise to liability.
We are not liable for Customer Content, for the way the Customer or its Users use the Service, for Third-Party Integrations, or for damage caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code.
Nothing in the Terms excludes or limits any liability that cannot be excluded or limited by law.
13. Suspension and termination
If the Terms are breached, we may suspend access to an Account or remove content, after informing the person concerned where possible. In the event of a serious or repeated breach, or a threat to the security of the Service, suspension may be immediate.
A User may stop using the Service at any time. The end of the Customer's contract ends its Users' access.
At the end of the contract, the Customer may request an export of its Customer Content for thirty (30) days. After that period, it is deleted or anonymised, unless the law requires it to be retained.
Provisions that by their nature are meant to survive (intellectual property, liability, governing law) continue to apply after access ends.
14. General provisions
The Terms, together with the Customer's contract and the privacy policy, constitute the entire agreement between the parties regarding the Service. If any provision is held invalid, the others remain in force. Failure to exercise a right does not constitute a waiver of it.
Aydee may assign the Terms to a group company or to a successor in the event of a reorganisation, merger or sale of its business. You may not assign your rights without our prior written consent.
The data recorded in our systems is evidence, unless proven otherwise, of the nature, validity and date of communications.
The Terms are drafted in French. Translations are provided for information only; in the event of discrepancy, the French version prevails.
15. Governing law and jurisdiction
The Terms are governed by French law.
In the event of a dispute, the parties will try to resolve it amicably. Failing agreement, and unless a mandatory rule of jurisdiction provides otherwise, the dispute falls within the exclusive jurisdiction of the Paris Commercial Court (Tribunal de commerce de Paris).
